This position will identify, manage and provide advice on legal issues and matters arising from Cardinal Health’s operations in Mexico and Central America. The successful candidate will be an in-house generalist, working on a variety of legal matters for Cardinal Health in the region. The position will liaise with all levels of management within the organization providing a high level of professional legal support. The position will be based in Mexico City and report to Cardinal Health’s Associate General Counsel and Regional Compliance Officer.
This legal professional will:
Provies legal advice to Cardinal Health management on a variety of subjects to minimize Cardinal Health’s legal exposure in the region, including, but not limited to, advice regarding product distribution and marketing, regulatory compliance, labor and employment, corporate governance, intellectual property, tax, antitrust, import/export and other matters in the region.
Works closely with the Contract Managers in Cardinal Health’s Commercial Legal and Contracts Team to review, negotiate and draft documents containing customer and supplier terms and conditions, e.g., distributor agreements with vendors, sales agreement with customers, teaming agreements, non-disclosure agreements, RFQs and RFPs containing terms and conditions, and credit terms and conditions.
Advise on, review, negotiate and draft contracts for a variety of business matters including, without limitation to, service agreements, transportation agreements, consulting or employment agreements, consignment agreements, non-disclosure agreements and real estate lease agreements.
Successfully manage and track regional commercial, collection and labor and employment claims and litigation.
Support the Regional Compliance Officer with the roll-out of regional compliance initiatives , conduct training and awareness programs, participate in compliance investigations, analyze trends, recommend program activities, and participate in regional and global compliance committee meetings.
Assists on management and monitoring of outside counsel both domestically and internationally, oversee intake of outside counsel invoices and assure expenses remain within the defined budget. Develops and implements reports to monitor outside legal spending.
Works closely with and supports Cardinal Health’s Legal, Treasury and Tax Departments on regional legal, business and tax initiatives.
Works closely with and advises Cardinal Health’s Human Resources Latin America team on a variety of labor and employment issues, including compliance with laws applicable to hiring, paying, disciplining and terminating employees.
As part of the larger legal team, will assist to create and implement and enhance processes, policies and tools ( e.g., contract templates, training modules, etc.) that are in place and creating new ones where needed for Cardinal Health’s subsidiaries in Latin America.
Adheres to regional legislation related to Cardinal Health’s activities, such as environmental, distribution, product liability, employment law, litigation trends, etc.,
Educates management and Cardinal Health’s Executive Team to provide them with a baseline knowledge of legal issues and risks in Latin America.
Qualifications. This role requires an experienced corporate attorney with sound legal and business judgment along with the following minimum qualifications:
JD degree or local equivalent from a reputable, accredited law school.
Member in good standing of the local bar.
5+ years international experience with an in-house legal department.
Experience working as an in-house attorney with a US multinational company.
A demonstrated knowledge of Latin America legal and compliance issues.
Excellent oral and written communication skills, in English and Spanish, with the ability to communicate legal and compliance issues to clients in a clear and understandable manner.
Specific experience in commercial and contract law. The ideal candidate should have strong drafting and negotiating skills and experience reviewing, negotiating and commenting on commercial contracts.
